Hardware & Subscription Terms

The terms covering Saphyroo hardware you buy or rent, the checkout agreement, and the Vision360 platform subscription. Australia (Saphyroo Pty Ltd) and the United Kingdom (Saphyroo Ltd).

Saphyroo Pty Ltd (Australia) and Saphyroo Ltd (United Kingdom). These terms cover the Saphyroo hardware you buy or rent, the checkout agreement, and the Vision360 platform subscription.

Version 2026-09-30. The version in force when you placed an order is the one recorded against that order.

Part 1: Checkout agreement

Authority to purchase. By placing an order, you confirm that you are authorised to make purchases and enter into agreements on behalf of your organisation, and that the business details you provide are accurate.

Saved payment method. Where you provide a card at checkout, you authorise Saphyroo to store it securely and charge it for: (a) the amount due at checkout; (b) recurring platform subscription fees for the duration of your plan; and (c) any other charges you have agreed to under these Terms or the Rental Agreement. Card details are stored securely with our payment provider (Stripe); Saphyroo does not store full card numbers.

Proof of agreement. When the box is ticked we record the date and time, the account and user, the version of these terms agreed, and the order details. A confirmation restates the key terms after purchase.

Part 2: Hardware Terms

These terms cover the physical devices (cameras, trackers and accessories) Saphyroo supplies, whether bought outright or rented.

1. What these cover. The supply, and where applicable the installation, of Saphyroo hardware. "Hardware" means the device and any accessories listed on your order.

2. Buying outright. On full payment, ownership of the hardware passes to you. Risk passes to you on delivery. The hardware is yours to keep.

3. Renting. On a rental, Saphyroo keeps ownership of the hardware at all times. You have the right to use it for the term, on the condition that fees are paid. You must not sell, sub-let, modify or remove the hardware, and you must keep it in good condition (fair wear and tear excepted).

4. Dispatch and delivery. Orders are dispatched within 14 working days of order confirmation (and, for orders requiring a business check, of that check being passed). Delivery dates are estimates and delivery is made to the address on your order. Risk passes to you on delivery.

4a. Delivery cost. Standard delivery is included at no charge.

4b. Installation. Where you select installation, Saphyroo or its appointed fitter installs the hardware; where you self-fit, you are responsible for correct fitting. Install is an optional, separately-priced service.

5. Warranty (buying outright). Saphyroo warrants purchased hardware is free from material defects for 24 months from delivery. If a device is faulty within this period, Saphyroo will repair or replace it. This warranty does not cover damage from misuse, accident, unauthorised modification, or incorrect self-fitting.

5a. Change-of-mind returns (purchased hardware). You may return purchased hardware within 14 days of delivery for a refund, provided it is unused and in its original packaging. This is in addition to your statutory rights and does not affect your rights in respect of faulty goods.

6. Warranty (renting). Rented hardware is covered for the entire rental period. There is no fixed warranty length: for as long as the rental is active, if a device fails through no fault of yours, Saphyroo replaces it at no charge. Cover ends when the rental ends.

6a. Install condition on warranty. Simple plug-in devices may be self-fitted without affecting warranty. Complex or multi-camera installations must be fitted by a Saphyroo-certified installer to keep warranty cover valid; warranty does not cover faults caused by incorrect self-installation of complex systems.

6b. Damage during fitting. Damage caused during self-installation is not covered by warranty and is the customer's responsibility (a replacement or repair is chargeable). Where Saphyroo or its appointed fitter installs the hardware, Saphyroo is responsible for any damage caused during that installation and will repair or replace it at no charge.

7. Returning rented hardware. Rented hardware remains the property of Saphyroo at all times. If you cancel a rental or it ends, you must return all rented hardware within 30 days of the rental ending, in good working condition (fair wear and tear excepted). If it is not returned within 30 days, or is returned damaged beyond fair wear, Saphyroo may charge the then-current hardware price or the cost of repair.

7b. Charge for unreturned hardware. If rented hardware is not returned within 30 days of the rental ending, you authorise Saphyroo to charge your saved payment method, on a one-off basis, for the replacement cost of the unreturned hardware as set out in your rental documentation. Where no saved payment method is held (for example, accounts paying by invoice), Saphyroo will invoice you for the replacement cost, payable within 30 days. We will send reminders before any such charge is made.

8. Loss or damage on a rental. While hardware is rented, you are responsible for loss or damage beyond fair wear and tear, and may be charged for repair or replacement.

8a. How to claim under warranty. To make a warranty claim, email [email protected] with your order details and a description of the fault. Saphyroo will respond within a reasonable time and, where the claim is valid, repair or replace the hardware. Saphyroo may first try to resolve the issue remotely.

9. Your legal rights. This warranty is in addition to, and does not exclude, replace or reduce, any rights you have under law. Those legal rights come first and can last longer than this warranty.

Australia (mandatory wording, required by the Australian Consumer Law):

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

United Kingdom: This warranty is in addition to your statutory rights under the Consumer Rights Act 2015 and does not affect them.

Part 3: Vision360 Subscription Terms

These terms cover the Vision360 platform subscription that your hardware connects to.

1. The service. Vision360 is Saphyroo's cloud platform for live tracking, video, alerts and reporting. Your device must have an active Vision360 plan to function.

2. Plans. Plans are Essential, Pro and Enterprise, with the features and prices shown at checkout. The SIM and cellular data needed for the plan are included in the plan fee. Extra data can be added; very high or constant live-streaming use is quoted separately.

3. Fees and billing. Fees are per device, per month, exclusive of GST and VAT, billed monthly or annually as you select. An annual plan is paid in advance for the year.

4. First month free. On a buy-outright purchase, the first month of Vision360 is free; billing starts in month 2. This does not apply to rentals.

5. Term and renewal. A subscription runs for its selected term and then continues on a rolling monthly basis until cancelled. Saphyroo will give notice before any rolling renewal, as required by law.

6. Cancelling. You may cancel with 30 days notice. For a device on a minimum term, early cancellation means the remaining term is payable in full, with no additional exit or termination fees on top (see the Hardware Terms for rented hardware return).

7. Fair use and suspension. Saphyroo may suspend a plan for non-payment or misuse, having given reasonable notice where practicable.

7a. Acceptable use. You must use the service lawfully and only for your own fleet operations. You must not misuse the platform, attempt to access it without authorisation, interfere with its security, resell or sub-licence it without Saphyroo's consent, or use it to break the law or infringe anyone's rights. Saphyroo may suspend access for a serious or repeated breach.

8. Your data. Saphyroo processes location, video and telematics data to provide the service, in line with the Privacy Policy and applicable data-protection law (Privacy Act 1988 in Australia, UK GDPR in the United Kingdom, PDPL in Saudi Arabia). Data stays in-region: Sydney for Australia, London for the United Kingdom, Riyadh for Saudi Arabia, meeting Saudi data-residency requirements. You own your operational data; Saphyroo holds it to run the service. The published Privacy Policy covers all three regions and applies across the Saphyroo platform, including Drive360, Route360 and Vision360, which are separate products within one app.

9. Availability. Saphyroo aims for high availability but does not guarantee uninterrupted service. Coverage depends on cellular and GPS networks outside Saphyroo's control.

10. Liability. To the fullest extent permitted by law:

  • Cap: Saphyroo's total liability under these terms is limited to the total fees the customer paid to Saphyroo in the 12 months before the claim.
  • Excluded losses: Saphyroo is not liable for indirect or consequential losses, including lost profits, lost revenue, lost business, loss or corruption of data, business interruption, or downtime costs.
  • Never excluded (carve-outs, not subject to the cap): death or personal injury caused by negligence; fraud or wilful misconduct; the customer's own payment obligations; intellectual property infringement; and anything that cannot lawfully be excluded or limited under applicable law, including the Australian Consumer Law and the UK Unfair Contract Terms Act.

11. Changes. Saphyroo may update these terms or plan features with reasonable notice. Material changes will be notified before they take effect.
